Sankyo and Daiichi Sign Definitive Agreement on Business Integration

The Boards of Directors of Sankyo and Daiichi Pharmaceutical signed a definitive agreement on the integration of the two companies through the establishment of a joint holding company to be named Daiichi Sankyo Company, Limited. The integration will take place in a two-stage process. First, a joint-holding company will be created pending approval by the relevant authorities and at the companies' respective shareholders' meetings scheduled for June 2005.
