VERTEX PHARMACEUTICALS ANNOUNCES AGREEMENTS TO EXCHANGE COMMON STOCK FOR $95.0 MILLION

Vertex Pharmaceuticals Incorporated (Nasdaq: VRTX -- News) announced today that five holders of its 5.75% Convertible Senior Subordinated Notes due 2011 have agreed to exchange approximately $95.0 million in aggregate principal amount of those notes held by them for approximately 6.7 million shares of the Company's common stock, which is approximately 390,000 shares more than the number of shares into which the bonds were convertible under their original terms.
